Membership & Platform Agreement

1. Membership Eligibility

You represent and warrant that:

• You are at least 18 years of age.
• All information provided during registration is accurate and current.
• You have the legal authority to enter into this Agreement.

2. Member Code of Conduct

As a NEXXO member, you agree to:

• Treat all members with professionalism and respect.
• Conduct business honestly and ethically.
• Maintain a positive and collaborative environment.
• Respect diversity and inclusion.
• Follow all applicable laws and regulations.

Members shall not:

• Harass, threaten, or discriminate against others.
• Share false or misleading information.
• Upload illegal, offensive, or harmful content.
• Use the platform for spam or unauthorized advertising.
• Attempt to gain unauthorized access to the platform or other member accounts.
• Use bots, scraping tools, or automated systems without written authorization from NEXXO.

3. Use of the Platform

Your membership grants you access to the features and benefits included in your selected membership plan.

You agree to use the platform solely for lawful and legitimate business purposes.

NEXXO reserves the right to modify, improve, suspend, or discontinue any feature or service at its discretion.

4. Marketplace & Business Transactions

NEXXO provides technology to facilitate connections between members.

NEXXO is not a party to any agreement, transaction, or contract entered into between members.

Members are solely responsible for:

• Negotiating their own agreements.
• Delivering promised products or services.
• Resolving disputes.
• Complying with tax and legal obligations.

5. Membership Fees

Membership fees are billed according to your selected plan.

Memberships may automatically renew unless canceled before the renewal date.

Membership fees are generally non-refundable unless otherwise required by law.

6. Rewards Program

Rewards, credits, points, or promotional benefits offered through NEXXO:

• Have no cash value.
• Are non-transferable.
• May expire according to program rules.
• May only be redeemed as specified by NEXXO.

NEXXO reserves the right to modify or discontinue the Rewards Program at any time.

7. Intellectual Property

All intellectual property related to NEXXO, including:

• Software
• Platform
• Source code
• Logo
• Brand assets
• Designs
• Educational materials
• Videos
• Documents
• Website content
• Mobile applications

is owned exclusively by NEXXO or its licensors and is protected by applicable intellectual property laws.

No content may be copied, reproduced, distributed, modified, or commercialized without prior written permission.

8. User Content

Members retain ownership of the content they submit to the platform.

By submitting content, you grant NEXXO a worldwide, non-exclusive, royalty-free license to display, reproduce, distribute, and use such content solely for operating, promoting, and improving the platform.

You represent that you own or have the necessary rights to any content you upload.

9. Privacy

Your personal information will be collected, processed, and protected in accordance with the NEXXO Privacy Policy.

10. Communications & Marketing Consent

By creating an account and becoming a NEXXO member, you agree to receive communications related to your membership and the operation of the platform, including:

• Monthly newsletters
• Platform updates
• Product announcements
• Service updates
• Event invitations
• Educational content
• Business opportunities
• Rewards and promotions
• Marketing communications regarding NEXXO, NEXXO Studio, Marketplace, Academy, Events, and future NEXXO services.

You may unsubscribe from promotional and marketing communications at any time through the unsubscribe link provided in our emails or by updating your communication preferences.

Essential communications regarding your account, billing, security, membership status, policy changes, or legal notices are considered necessary service communications and cannot be opted out of while your account remains active.

11. Suspension or Termination

NEXXO reserves the right to suspend or terminate any account that:

• Violates this Agreement.
• Engages in fraudulent activity.
• Harms the community.
• Uses the platform illegally.
• Misuses Rewards or membership benefits.
• Attempts to compromise platform security.

Termination does not relieve the member of any outstanding financial obligations.

12. Disclaimer

NEXXO provides a networking and business platform.

NEXXO does not guarantee:

• Business success.
• Revenue generation.
• Sales.
• Partnerships.
• Investment opportunities.
• Employment.
• Client acquisition.

Results depend entirely on each member’s efforts and business activities.

13. Limitation of Liability

To the fullest extent permitted by law, NEXXO shall not be liable for any indirect, incidental, consequential, or special damages arising from:

• Use of the platform.
• Business transactions between members.
• Marketplace purchases.
• Third-party services.
• Lost profits.
• Lost business opportunities.
• Data loss.

14. Changes to this Agreement

NEXXO may modify this Agreement from time to time.

Updated versions will be published on the platform.

Continued use of the platform after updates constitutes acceptance of the revised Agreement.

15. Governing Law

This Agreement shall be governed by the laws of the State of Florida, United States, unless otherwise required by applicable law.

Any disputes shall be resolved in the appropriate courts located in Florida.

16. NEXXO Community Commitment

As a member of NEXXO, I commit to:

• Building meaningful relationships.
• Conducting business with integrity.
• Supporting fellow entrepreneurs and professionals.
• Respecting every member of the community.
• Contributing to an ecosystem where connections create opportunities for everyone.

Member acknowledgment

Before accessing the platform, you must confirm the first of these. The second one is optional:

• I have read, understood, and agree to the NEXXO Membership & Platform Agreement, Privacy Policy, and Community Guidelines.
• I consent to receive the NEXXO monthly newsletter, event invitations, platform updates, promotional offers, educational content, and marketing communications about NEXXO products, services, partnerships, and future business opportunities. I understand that I may unsubscribe from promotional communications at any time, while essential account and service notifications will continue as necessary.
